Corporate Law in Nevada

Corporate Law is an area of law practice that encompasses the legal methods of forming and operating a corporation from the state(s) in which they seek to do business in as an organization. The corporation can be a business for profit, a professional business such as a law office, investment brokerage, physician's practice or a non-profit entity which operates for charitable, social, religious, or other purposes. Corporations are governed by state corporation laws. In addition, supplemental laws that govern business operations include consumer protection law, contract laws, labor and employment law, anti-trust laws, securities, and any other regulations that deal with the daily operations of a corporation.

A corporation is a legal entity that is separate from its owners or "shareholders". A corporation is formed by filing certificates or articles of incorporation with the Secretary of State where the business will operate. State corporate law governs the duties of corporate shareholders, as do the corporate bylaws. Corporations are governed by the shareholders, who elect the directors, who elect the officers, who actually run the corporation. Because the corporation exists apart from its shareholders, directors, and officers, it continues to exist even if something happens to the people who own and operate it.

Corporate law subjects include:

• mergers;
• acquisitions;
• capital partners;
• equity investments;
• joint ventures;
• sales and dispositions of businesses;
• business lines and assets;
• secured and unsecured financing transactions;
• contracts;
• corporate governance and proper record keeping,
• employment and benefit arrangements;
• employment law issues
• and advice and counseling on other business and related matters.

It is not uncommon for corporate law firms to represent clients whose goal is to form and properly structure businesses in conjunction with drafting an exit strategy for these businesses, which may include the preparation of shareholder and operating agreements that govern the management and control of these businesses, equity interest transfers and other important areas to the owners.
